Terms of Service

These Terms of Service ("Terms") govern your access to and use of Wordsrite, including our website, applications, and related services (collectively, the "Services").

Wordsrite is operated by Threestart Limited. In these Terms, "Wordsrite," "we," "us," and "our" refer to Threestart Limited.

By creating a Wordsrite account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Eligibility

To use Wordsrite, you must:

  • a. be at least 18 years old;
  • b. have the legal capacity to enter into a binding agreement; and
  • c. provide accurate and truthful information.

You must not create an account using false information, impersonate another person, or create an account on behalf of someone else without proper authority.

2. Your Relationship With Us

When you register for an account, you become a Member.

If you access publicly available portions of the Services without registering, you are a Visitor.

Both Members and Visitors are "Users" under these Terms.

These Terms apply to all Users.

3. Your Account

You are responsible for:

  • a. maintaining the confidentiality of your login credentials;
  • b. all activity that occurs under your account; and
  • c. ensuring your account information remains accurate and up to date.

You must notify us promptly if you believe your account has been accessed without authorization.

We may send you service-related notices and administrative communications as part of the Services. These communications are considered part of your use of Wordsrite.

4. Changes to the Services or These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means.

By continuing to use the Services after updated Terms become effective, you agree to the revised Terms. If you do not agree, you must stop using the Services and, if applicable, delete your account.

We may also modify, suspend, restrict, or discontinue any part of the Services at any time.

5. Content and User Responsibility

Wordsrite allows Users to create, post, comment, reply, share, and otherwise make content available through the Services ("User Content").

You are solely responsible for your User Content and for the consequences of posting or sharing it. You represent and warrant that:

  • a. you own your User Content or have all necessary rights to use and share it;
  • b. your User Content does not violate these Terms, applicable law, or the rights of any person or entity; and
  • c. your User Content is accurate to the best of your knowledge where you present it as fact.

We do not guarantee the accuracy, completeness, or reliability of User Content posted by Users.

6. Your Ownership of Content

You retain ownership of the User Content you create and post on Wordsrite.

However, by submitting, posting, or displaying User Content through the Services, you grant Wordsrite a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, modify, publish, display, distribute, and otherwise use that User Content for the purpose of operating, improving, promoting, securing, and providing the Services.

This license ends when your User Content is deleted from our active systems, except:

  • a. where retention is required for legal, security, compliance, fraud prevention, or enforcement purposes;
  • b. where the content has been shared with others and they have not deleted it; or
  • c. where limited backup, archival, or technical retention is reasonably required.

7. Our Services and Intellectual Property

The Services, including our software, design, features, trademarks, logos, branding, text, graphics, and other materials, are owned by or licensed to Wordsrite and are protected by intellectual property and other applicable laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, scrape, or otherwise exploit the Services except as expressly permitted by law or with our prior written consent.

Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or obligation to you.

8. Acceptable Use and Prohibited Conduct

You must not misuse the Services or use them in a way that interferes with others' use of the Services.

You must not:

  • a. create fake accounts or misrepresent your identity;
  • b. impersonate another person, business, or organization;
  • c. use another person's account without permission;
  • d. use bots, scripts, scraping tools, or unauthorized automation;
  • e. circumvent security, authentication, rate limits, or access controls;
  • f. upload malware, malicious code, or harmful content;
  • g. attempt to reverse engineer or disrupt the Services;
  • h. overload, spam, attack, or interfere with the operation of the Services;
  • i. abuse reporting, moderation, appeals, or support processes;
  • j. use the Services for unlawful, fraudulent, deceptive, or harmful purposes; or
  • k. infringe the intellectual property, privacy, publicity, or other rights of others.

9. Prohibited Content

You must not post, upload, promote, link to, or otherwise make available content that includes or promotes:

  • a. fake accounts or identity misrepresentation;
  • b. bot or automated engagement activity;
  • c. impersonation;
  • d. privacy violations or unauthorized disclosure of personal information;
  • e. copyright infringement or other intellectual property violations;
  • f. fraud, scams, or deceptive practices;
  • g. spam or unsolicited promotions;
  • h. misinformation or false claims likely to cause harm;
  • i. illegal goods or services;
  • j. threats, incitement, or glorification of violence;
  • k. extremist or violent-organizational content;
  • l. harassment, bullying, or abusive conduct;
  • m. hate speech or discriminatory abuse;
  • n. child sexual exploitation or child endangerment;
  • o. sexual or explicit content;
  • p. self-harm or suicide promotion; or
  • q. any other content that violates applicable law or our policies.

We may remove or restrict content, accounts, features, or visibility at our discretion where we believe content or conduct violates these Terms, applicable law, platform requirements, or the safety and integrity of the Services.

10. Public Nature of the Service

Wordsrite includes public-facing features. Content you post publicly may be visible to:

  • a. other users;
  • b. visitors who are not logged in;
  • c. search engines; and
  • d. third parties who access or copy publicly available content.

You should only share content that you are comfortable making public.

11. Paid Services and Subscriptions

Some features of Wordsrite require payment, including recurring subscriptions and other paid features ("Paid Services").

Before purchasing a Paid Service, the applicable price, billing terms, and key conditions will be shown to you.

By purchasing a Paid Service, you represent that:

  • a. you are at least 18 years old;
  • b. you are authorized to use the selected payment method; and
  • c. you agree to pay all applicable charges associated with your purchase.

Subscriptions

If you purchase a subscription, it may renew automatically unless canceled before the renewal date.

You are responsible for managing your subscription through the platform or provider used for the original purchase.

If you purchase through:

  • a. Apple App Store, your billing, cancellation, and refund rights may be governed by Apple's terms and policies;
  • b. Google Play, your billing, cancellation, and refund rights may be governed by Google's terms and policies; or
  • c. our web billing provider, your billing may be governed by that provider's terms and the checkout terms presented at purchase.

Unless otherwise stated, subscription fees are non-refundable and non-transferable, and we do not provide refunds or credits for partial billing periods or unused time, except where required by law or where the applicable billing platform provides otherwise.

We may change pricing for Paid Services from time to time. Where required, we will provide advance notice before new pricing takes effect.

Paid Services apply only to the account associated with the purchase unless we expressly state otherwise.

12. Promotions, Business Features, and Limits

Wordsrite may offer business-related features, promotional tools, advertising functionality, subscription-based promotion allowances, or other paid visibility features.

The scope, duration, availability, and limits of those features may vary and may be changed, restricted, suspended, or removed by us from time to time.

We may apply usage limits, eligibility rules, fairness controls, anti-abuse restrictions, geographic restrictions, and account-level caps to any feature, whether free or paid.

13. Copyright Complaints

If you believe content on Wordsrite infringes your copyright or other intellectual property rights, please contact us at contact@wordsrite.com and include:

  • a. your physical or electronic signature;
  • b. identification of the copyrighted work or other protected material;
  • c. identification of the allegedly infringing content and its location;
  • d. your contact information;
  • e. a statement that you have a good-faith belief the use is not authorized; and
  • f. a statement that the information in your notice is accurate and, where applicable, made under penalty of perjury.

We may remove allegedly infringing content and may suspend or terminate repeat infringers.

14. Suspension and Termination

You may stop using the Services at any time and may delete your account subject to any processes we make available.

We may suspend, restrict, or terminate your access to all or part of the Services, with or without notice, if we believe:

  • a. you have violated these Terms;
  • b. your account creates risk, harm, or legal exposure for us, our users, or others;
  • c. your conduct is unlawful, deceptive, abusive, or unsafe;
  • d. your use of the Services is no longer commercially viable for us to support; or
  • e. we are required to do so by law, regulation, court order, or platform requirement.

Where reasonable, we may attempt to notify you using the contact details associated with your account.

15. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Wordsrite disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that:

  • a. the Services will always be secure, error-free, or uninterrupted;
  • b. content will always be accurate, complete, or reliable;
  • c. defects will always be corrected; or
  • d. the Services will always be available at a particular time or place.

16. Limitation of Liability

To the maximum extent permitted by law, Wordsrite, Threestart Limited, and our directors, employees, contractors, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to your use of, or inability to use, the Services.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

  • a. the amount you paid to us for the applicable Paid Service in the 12 months before the event giving rise to the claim; or
  • b. USD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnity

You agree to indemnify, defend, and hold harmless Wordsrite, Threestart Limited, and our directors, employees, contractors, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • a. your use of the Services;
  • b. your User Content;
  • c. your violation of these Terms; or
  • d. your violation of any law or the rights of a third party.

18. Governing Law

These Terms are governed by the laws of New Zealand, excluding its conflict of laws principles.

You agree that the courts of New Zealand will have non-exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

19. General Terms

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

These Terms, together with our Privacy Policy and any additional terms presented to you for specific features or Paid Services, form the entire agreement between you and Wordsrite regarding the Services.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.
